Intway World Corporation Partners’ Business Conduct Corporate Responsibility Agreement

The members of the Board of Directors and of the Executive Board of Intway World Corporation («IWC»), by signing this Agreement, and with attention to:

• The IWC Code of Ethics;
• Agent Agreement on the Search for Buyers (Users) of the Principal’s Products and Services (Agent Agreement below)

have agreed to the following:

Chapter I. The Trademark and Image of the Corporation

Article 1. Advertising and informational materials

Partner-developed advertising and informational materials (magazines, newspapers, Web sites, brochures, business cards, pamphlets, and others) containing information about the activities of IWC must be published only on behalf of partners and partner organizations. Publication of materials on behalf of the Corporation is permitted only after securing the consent of the Corporation in written or electronic form.

Article 2. Use of the IWC trademark and logo

It is prohibited to use the IWC trademark or logo in advertising or informational materials that have not been either mandated or approved by the Corporation in accordance with the Rules of IWC Trademark (Servicemark) Use.

Article 3. Dissemination of information about IWC

The Corporation’s partners are prohibited from deliberately disseminating false information about the activities, products, ideology, policies, or principles of IWC. Information is considered to be false if it is not confirmed by the Corporation’s official advertising and informational sources (advertising brochures, magazines, Web sites, statements made by members of the Board of Directors, and so on).

Article 4. Dissemination of information concerning company activities unrelated to the activities of IWC

It is prohibited to make use of or disseminate any information about the activities, products, or services of other companies at the clubs and offices of IWC.

Chapter II. Parties Doing Business with Intway World Corporation

Article 5. Partners and clients of IWC

Client — an individual, intending to order or acquire, or one ordering, acquiring or using products (services) exclusively for personal, family, domestic, and other needs unrelated to entrepreneurial activity.

Partner — an individual engaged in entrepreneurial activity as defined in Article 6, Paragraph 6.2 of this Agreement, and having the necessary legal standing: a person of sound mind and body, having reached 16 years of age, or a legal entity registered in accordance with the laws of the country where it is located.

Chapter III. Doing Business with IWC

Article 6. Obtaining a partner business position within IWC

6.1. By entering into a contractual relationship with IWC every partner acquires the right to use the Corporation's resources for his or her own business activities. Contractual relations with the Corporation are established via an adhesion contract. When entering into an Agent Agreement with IWC, the partner does so by accepting its conditions electronically, and subsequently operating on the basis of the present document.

6.2. A Partner is eligible to receive rewards from IWC if:

• he or she acts as an independent entity engaged in entrepreneurial activity, which is understood to mean independent enterprise engaged in at one’s own risk, with the aim of systematically earning an income from the use of property, sale of goods, performance of jobs or rendering of services by individuals who are registered as such an entity in accordance with the laws under the jurisdiction of which the given entity falls.
• he or she acquires the Flash Info Kit, which contains information describing the principles of engaging in entrepreneurial activity on the terms of a business partnerships with IWC; in this case, the partner is eligible to receive rewards from the Company in accordance with the Global Bonus Program, as laid described at: http://www.intway.com/ru/team/rewards.

6.3. A partner of the Corporation may be the holder of just one contract to acquire a business position. It is prohibited for a partner to obtain a business position that is higher within the IWC structure than that of the recommender who had invited the partner into the business, or that is within a different parallel structure. Acquiring or attempting to acquire contracts under an assumed name, as well the acquisition of a large number of contracts with the intent of reselling business positions is strictly prohibited.

Article 7. The right to the protection of the business reputation and restrictions on disseminating information about other partners

Every IWC partner has the right to be treated with respect and to have the chance to build his or her reputation within the Corporation and among the Corporation’s potential partners. It is prohibited to disseminate negate information based on rumors or speculation, or to undertake any activities that would result in the spread of negative rumors or in damage to the reputations of other partners.

Article 8. Rights and restrictions when doing business with IWC

Every IWC partner is eligible to receive support and instruction, and to carry out any other activities in accordance with the terms of the Code of Ethics, the Policies and Principles of IWC, and of this Agreement, at any office or club of the Corporation, regardless of his or her business position within the Intway organization. Participation in the IWC club system grants partners a number of advantages, such as access to all educational programs and accruals through the Global Bonus Program.

Chapter III. Upholding the Terms of the Agreement

Article 9. Commitment to observe the terms of the Agreement

All parties that have signed the Agreement will do everything possible to ensure that the terms of this document are observed by each IWC partner who is under their leadership or on their team.

Failure to adhere to the terms of this Agreement by Intway’s partners gives the Corporation the right to unilaterally restrict the partner’s participation in the Career Plan and in the IWC Global Bonus Program.

While a partner's participation in the Career Plan and the Global Bonus Program is restricted, all funds coming into the partner's operations and accounting system (the back-office) will be automatically transferred to The World As One, Intway's charitable foundation.

Notarized copies are sent to heads of clubs and corporate offices, and to other interested parties upon request.
